| How to Vote at the Annual General
Meeting |
U.S. Registered Holders
If you hold your STMicroelectronics NY Shares in the form of stock
certificate(s) you can vote by completing and signing the Voting
Instruction Card provided to you by The Bank of New York, as NY
Share Transfer Agent. Completed Voting Instruction Cards should
be returned to the NY Share Transfer Agent at the address indicated
on the card and must be received no later than 3:00 p.m. (EST) on
April 24, 2007. Please allow enough time for the mail to reach The
Bank of New York.
U.S. Beneficial Holders
If you hold your STMicroelectronics NY Shares through a bank or
broker you can vote by following the instructions provided to you
by your bank or broker or your bank’s or broker's agent. You
will need to follow the instructions of your financial institution
(e.g., your bank or broker) or your bank’s or broker’s
agent regarding voting deadlines.
Shareholders holding common shares through Euroclear France
Shareholders holding common shares of ST through Euroclear France,
which are traded on Euronext Paris or the Milan Stock Exchange who
wish to attend the general meeting or vote by proxy must read the
attached instruction
letter and fill out the appropriate Appendix.
