If you hold your STMicroelectronics NY Shares in the form of stock
certificates you can vote by completing and signing the Voting Instruction
Card provided to you by The Bank of New York, as NY Share Transfer
Agent. Completed Voting Instruction Cards should be returned to
the NY Share Transfer Agent at the address indicated on the card
and must be received no later than 3:00 p.m. (EST) on April 25,
2006.

If you hold your STMicroelectronics NY Shares through a broker you
can vote by following the instructions provided to you by your broker
or broker's agent. Your voting instructions must be received by
The Bank of New York, as NY Share Transfer Agent no later than 3:00
p.m. (EST) on April 25, 2006.

Shareholders holding common shares of ST through Euroclear
France, which are traded on Euronext Paris or the Milan Stock Exchange
who wish to attend the general meeting or vote by proxy must read
the attached instruction
